On May 23, 2007, the Securities and Exchange Commission (SEC) agreed to publish in final form the interpretive guidance for management regarding its evaluation and assessment of internal control over financial reporting (ICFR) for non-accelerated filers (smaller public companies). Non-accelerated filers will be required to file a non-audited report on ICFR for fiscal years ending on or after December 15, 2007, and an audited report for fiscal years ending on or after December 15, 2008. On June 5, 2007, SEC Chairman Christopher Cox and PCAOB Chairman Mark Olson testified at a hearing of the House Committee on Small Business that recent rulings should reduce the complexity and cost of SOX compliance for smaller public companies. Their guidance is for smaller public companies to press ahead with SOX compliance efforts.
